Terms of Service

The short version:LendPromise is a tool to help you manage personal loans between people you know. We are not a bank or lender. Contracts are optional. We never report your loan activity to anyone. Use the platform honestly and respect the other party. If something goes wrong between you and the other person — that's between you two, not us.

1. Acceptance of Terms

By creating an account or using LendPromise ("the Platform"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users — lenders, borrowers, and visitors.

You must be at least 18 years old to use LendPromise. By using the Platform, you confirm that you meet this requirement.

2. What LendPromise Is — and Is Not

  • A tool for generating optional loan contracts
  • A payment facilitation service (via Stripe)
  • A reminder and communication tool
  • A platform for private individuals managing loans between people they know

✗ What we are not

  • A bank or financial institution
  • A lender — we never provide loan funds ourselves
  • A credit bureau or reporting agency
  • A debt collection service
  • A legal advisor or attorney
  • A party to any loan agreement between users

3. Your Account

You are responsible for:

  • Keeping your login credentials secure
  • All activity that occurs under your account
  • Providing accurate information when creating your account
  • Notifying us immediately if you suspect unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for extended periods.

4. Loans on the Platform

LendPromise provides tools to help you document and manage loans. By using these tools, you understand and agree that:

  • All loan terms are set entirely by you and the other party — LendPromise does not set, approve, or recommend any terms
  • Contracts are completely optional — you can track loans without one
  • LendPromise is not a party to any loan agreement between users
  • We do not guarantee that the other party will repay the loan
  • We do not provide legal advice — consult an attorney for complex situations
  • Interest rates and loan terms are entirely your responsibility to set legally and appropriately
  • We do not report loan activity to credit bureaus, the IRS, or any government agency

5. Payments & Fees

Platform fees

LendPromise offers two pricing tiers and may also collect transactional fees on payments routed through the platform. Current pricing is shown on the in-app billing page and may change with 30 days notice. Fees include:

  • Free tier: $0 — up to 1 active formal loan, 5 AI receipt scans per month, core IOU + group expense tracking.
  • Pro tier: $4.99/month or $49.99/year — unlimited formal loans, signed promissory note with e-signature included on every loan, unlimited AI receipt scans, advanced reminder options, CSV/PDF export, priority support.
  • Repayment processing: 0.5% per payment processed through the platform (passed through alongside the card or ACH processing fee).
  • Transfer fee: 1% of loan amount when funded directly through the platform (does not apply when funds move outside the app).

iOS / Android subscriptions: when you subscribe inside the LendPromise iOS or Android app, billing is handled by Apple or Google respectively. Subscription pricing remains $4.99/month or $49.99/year on all platforms. To change or cancel an in-app subscription, use the subscription settings in the respective app store.

Payment processing

All payments are processed by Stripe. By using payment features, you agree to Stripe's Terms of Service. LendPromise never stores card numbers or bank credentials.

Refunds

Subscription fees are non-refundable for the current billing period. Web subscribers can cancel from Settings → Billing → Manage subscription; iOS subscribers cancel through the App Store; Android subscribers cancel through Google Play. Pro features remain available until the end of the current period. For billing errors, contact support@lendpromise.com.

6. Electronic Signatures (ESIGN Act Consent)

When a Pro subscriber generates a signed promissory note on LendPromise, the document is sent to both the lender and borrower for electronic signature through our e-signature provider (SignWell). By signing electronically on LendPromise, you agree to the following under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN, 15 U.S.C. §§ 7001–7031) and any applicable state laws (including the Uniform Electronic Transactions Act, or UETA):

  • Your electronic signature has the same legal effect as a handwritten signature.
  • You consent to conduct the loan transaction by electronic means and to receive the promissory note and related disclosures electronically.
  • You have access to a device capable of viewing and saving PDF documents.
  • You may withdraw consent to electronic delivery at any time by emailing privacy@lendpromise.com — but in that case the promissory note signature is void and the loan continues without a signed note.
  • A signed copy of the promissory note is delivered to both parties by email and is also accessible inside the LendPromise app on the loan detail page.
  • You confirm that the email address on file is correct for receiving the signed document and any future notices regarding it.

LendPromise is not a party to the promissory note — we facilitate its creation and signature, but the legal agreement is between the lender and borrower. Either party may print, save, or download the signed PDF at any time from the loan detail page.

7. Acceptable Use

You agree NOT to use LendPromise to:

  • Create fraudulent or fictitious loans
  • Harass, threaten, or intimidate other users
  • Launder money or engage in any illegal financial activity
  • Impersonate another person or entity
  • Use the platform for commercial lending or loan brokering
  • Attempt to reverse-engineer, scrape, or hack the platform
  • Use automated bots or scripts to interact with the platform
  • Engage in any activity that violates applicable federal, state, or local law

LendPromise is intended for personal loans between people who know each other. It is not a peer-to-peer lending marketplace. Do not use it to solicit loans from strangers.

8. Loan Disputes

LendPromise is not a mediator, arbitrator, or party to disputes between lenders and borrowers. If the other party fails to repay a loan or breaches your agreement, that is a matter between you and them. LendPromise provides documentation (payment history, contracts, communication logs) that may be useful in resolving disputes, but we do not intervene in or guarantee the outcome of any loan.

For loans with signed contracts, the promissory note serves as legal documentation. Consult an attorney regarding your options in the event of default.

9. Intellectual Property

All platform content, design, code, and branding is owned by LendPromise, Inc. You may not copy, reproduce, or distribute any part of the platform without written permission. Loan documents and data you create remain yours — we do not claim ownership over your loan records or contracts.

10. Disclaimers & Limitation of Liability

LendPromise is provided "as is" without warranties of any kind, express or implied.

We do not guarantee that the platform will be error-free, uninterrupted, or secure at all times.

We are not liable for any loan that goes unpaid, any dispute between users, or any financial loss arising from use of the platform.

To the maximum extent permitted by law, LendPromise's total liability to you for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages of any kind.

11. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes arising from these Terms or your use of LendPromise shall be resolved in the courts of Harris County, Texas. You consent to personal jurisdiction in Texas for these purposes.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you by email and display a notice in the app at least 30 days before material changes take effect. Your continued use of LendPromise after the effective date constitutes acceptance of the updated Terms. If you disagree with changes, you may close your account before they take effect.
